Keynote Strengthens Board of Directors; Former Oracle Legal Chief and CIO of Franklin Resources Latest Additions


Raymond L. Ocampo Jr. and Jennifer Bolt Join Board of Directors


SAN MATEO, Calif., — April 28, 2004 — Keynote Systems (Nasdaq “KEYN”) today announced the addition of two new members to the company’s board of directors – Raymond L. Ocampo Jr., retired senior vice president, general counsel and secretary of Oracle Corporation and Jennifer Bolt, senior vice president and chief information officer of Franklin Resources, Inc.

Mr. Ocampo was elected to Keynote’s board at the company’s annual stockholder meeting held on March 25. The board appointed Ms. Bolt on April 16.

In addition to Mr. Gupta and the two new additions, Keynote’s seven-person board includes David Cowan, managing general partner, Bessemer Venture Partners; Mohan Gyani, retired president and chief executive officer, AT&T Wireless Mobility Services; Geoff Penney, executive vice president and chief information officer, Charles Schwab Corporation (NYSE “SCH”); and Dr. Deborah Rieman, retired president and chief executive officer, Check Point Software and currently with U.S. Venture Partners.

Background on Raymond L. Ocampo Jr.

Mr. Ocampo is a consultant, private investor and president and CEO of Samurai Surfer LLC. In November 1996, Mr. Ocampo retired from Oracle Corporation, where he served in various senior and executive positions since 1986, most recently as Senior Vice President, General Counsel and Secretary since September 1990. In addition to serving on Keynote’s board, Mr. Ocampo is a member of the boards of directors of Intraware, Inc., CytoGenix, Inc., PMI Group, Inc. and VitalSteam Holdings, Inc. Since January 2000, Mr. Ocampo has also served as a member of the board of directors of the Berkeley Center for Law & Technology, which he co-founded in 1997. Mr. Ocampo holds a J.D. degree from Boalt Hall School of Law at the University of California at Berkeley and an A.B. degree in Political Science from UCLA.

Background on Jennifer Bolt

Ms. Bolt is senior vice president and chief information officer of Franklin Resources, Inc. (NYSE “BEN”). She also serves as chairman of Franklin Templeton Bank & Trust and Franklin Capital Corporation and is a member of Franklin Resources, Inc.'s Executive Committee. Ms. Bolt launched Franklin Capital Corporation, Franklin's consumer lending division, where she served as president from 1993 to 1999.

Ms. Bolt was named "E-commerce Executive of the Year" in 2002 by Institutional Investor’s mutual fund newsletter, Fund Action. She is a graduate of the American Banker’s Association’s Stonier Graduate School of Banking and received a Bachelor of Arts degree in economics and physical education from the University of California at Davis.
