SAN MATEO, Calif., — July 7, 2004 — Keynote Systems (Nasdaq “KEYN”), the worldwide leader in Web performance measurement and management services, today announced the acquisition of Hudson Williams, a privately owned premier global performance consulting firm headquartered in the Wall Street financial district of Manhattan. Keynote will leverage the deep expertise in performance management and testing possessed by the Hudson Williams professional services team by fully integrating the team with Keynote’s Enterprise Solutions Group. Nell Cote, the Founder and CEO of Hudson Williams, becomes the director of Keynote’s east coast Enterprise Solutions Group.

Keynote’s customers and prospects in New York City, and the entire east coast, are the primary beneficiaries as they can now easily tap into a strong set of locally available consultants to meet their performance management needs.

This is Keynote’s 10th acquisition. Terms of the deal were not disclosed.

Over the years, Hudson Williams has partnered closely with Keynote to provide major corporations and government organizations assurance that their systems are available and responsive through the delivery of its own consulting expertise and services, and through Keynote’s measurement and testing services. Hudson Williams has provided IT performance analysis for some of the world’s largest enterprises including JPMorgan Chase (NYSE “JPM”), AIG (NYSE “AIG”), BP (NYSE “BP”) and the U.S. Patent and Trademark Office.

“Hudson Williams provides Keynote with a unique and strong talent pool of consultants who possess a very deep focus and tremendous expertise in performance management and load testing,” said Umang Gupta, chairman and CEO of Keynote. “By acquiring Hudson Williams and opening an office directly on Wall Street, we can meet the increased demand for our services on the east coast and specifically among financial services companies and others based in New York City. We are pleased to welcome Hudson Williams into the Keynote fold and look forward to great results from our enhanced enterprise solutions group in the form of added customers and revenue.”

“Keynote is the company enterprises think of when it comes to performance services and, with the improving economy, is extremely well positioned to capitalize on the new-found interest companies have in improving performance,” said Nell Cote. “As companies begin to spend again on performance management, we decided this was an ideal time to align ourselves with Keynote, a company that early on realized that performance management, provided as a service, was the model for the future. We are very excited about our prospects going forward now that we are a part of Keynote; a company that is the performance management services leader, financially stable and aggressive in the market. Overall, Keynote is the ideal fit for the unique talent and capabilities we possess.”
